Senior Legal Counsel (621):
  • Advising on all aspects of shipping law, reviewing and advising on commercial agreements and contracts including charterparties, joint venture agreements, ship building contracts and ship management agreements.  Experience in cargo and charterparty disputes and claims.
  • Has knowledge in LNG Marketing Agreements and issues such as development of LNG SPAs, MSAs.
  • Provides advice to Department Managers on legal issues referred to him by Head of Shipping and Sales.
  • Reviews agreements to ensure compliance with applicable laws and Company policies and objectives.
  • Trains and Mentors Nationals (Associate Counsel).
  • Performs duties such as interpreting laws, keeping abreast of legislation.
  • Drafts letters and documents addressed to governmental authorities or for any other purposes as required.
  • Drafts, reviews and negotiates contractual arrangements, including those with contractors, customers, consultants, suppliers, lessors, shippers, Charterers, Buyers, etc.
  • Develops standard agreements and reviews all agreements to ensure Company is protected legally.
  • Provides support to Company’s SHE and Quality policies and programs, and carrying out specific duties and responsibilities related to his job as spelled out in RGEE and other related documents.
  • Carries out other duties at the request of the General Counsel.
  • Responsible for providing sound commercial legal advice to Ras Gas Departments and negotiating and drafting contacts.
  • Needs to be professionally equipped to provide legal advice relevant to transportation issues and work effectively in a complex multi-national, multi-cultural environment.
  • Receives advice and direction from the Head of Shipping and Sales, but also enjoys a level of autonomy in discharging function.
  • Internal – Regular meetings with members of Commercial & Shipping and the Management Team and those he is doing work for.
  • External- Occasional meetings with shipowners and charterers.
  • Needs to evidence maturity and judgement in analysing and preparing written legal opinions and contracts on complex, difficult and often-conflicting issues.
  • Good negotiating skills are required when representing RasGas in meetings and contract negotiations.
  • Works in a fairly well structured environment where goals are clear but legal issues are varied/diverse.
  • Needs to provide legal advice on a broad variety of issues and work effectively in a complex multi national, multi cultural environment.
  • Has a high degree of freedom in the execution of his functions, events and activities.
Knowledge Skills and Experience:
  • Appropriate degree from a recognized law school.
  • Commercial knowledge related to upstream oil and gas industry, preferably gained through working for 5-10 years with multi-national companies is an advantage.
  • Around 5-10 years experience working as a transportation/commercial lawyer.
  • Able to demonstrate excellent communication skills.
  • Able to work independently.
  • Advanced knowledge across specializations.
  • Computer literate.
  • Fluent in English language (demonstrated verbal and written skills).

SENIOR LEGAL COUNSEL (Arbitration) (381):
  • Advising on strategies to address both legal and commercial issues with an emphasis on supporting a business-focused approach to RasGas’ arbitration disputes to support the Legal Department’s objectives and strategy.
  • Advising on strategies to address pending and existing high value and complex commercial arbitrations involving RasGas both in the State of Qatar and internationally whether under adhoc or institutional arbitration.
  • Responsible for and managing all existing arbitration proceedings involving RasGas in the best interests of RasGas and in a manner to minimize legal exposure of RasGas.
  • Coordinates and follows up all legal matters concerning arbitration and legal procedures applicable to arbitration by providing information and advice on proposal for terms and settlement of claims and disputes affecting commercial and LNG Sales Agreements.
  • Provides a level of strategic thinking into “price review” clause related to Long Term Sales Agreements, including LNG, and provide General Counsel with input going forward. This includes commercially sound legal interpretation, application and implementation of price review clause in all Long Term Sales Agreements whether the matter is in negotiation or in arbitration.
  • Provides input to the General Counsel on engagement of external resources to support arbitration disputes or price review negotiations.
  • Identify and interview potential experts for review with the General Counsel for any potential or existing arbitration disputes to which Company is a party.

  • Attend senior management meetings with General Counsel and advise on strategic issues related to arbitration disputes generally.
  • Provides the General Counsel with periodical reports on reviews/key issues handled by all members reporting to him/her (the “Section”) and keeps the General Counsel informed of any pressing matters/ legal issues that have a broader impact on RasGas legal and commercial interests, as well as RasGas’ reputation.
  • Aligns Section objectives with the Legal Department’s objectives and develops work plan/strategy for the Section.
  • Interfaces with other Sections and ensure alignment between and within Sections.
  • Ensures timely and flawless execution of legal advice.
  • Develop subordinates by coaching, training and mentoring to develop appropriate legal skills and competencies.
  • Supervises Paralegal, Sr. and/or Legal Counsel of the Section; provides them with necessary guidance and support in all price review and arbitration related disputes or issues.
  • Provides annual performance assessments/appraisals and evaluation of the Section. Prepares annual work programmers for the Section for approval of the General Counsel.
  • Has not only an excellent commercial awareness but also an arbitration/litigation acumen with a hands-on and can-do approach. Is a team player and able to manage and work alongside a diverse team of both legal and non-legal colleagues within and outside RasGas.
  • Provides advice to Department Managers on legal issues referred to him/her by the General Counsel.
  • Develops for the General Counsel’s approval a strategic plan for legal advice and support for each dispute and interface with external counsel as and when required to ensure efficient use of internal and external resources while ensuring that the Company is protected legally in accordance with the approved strategy.
  • Supervise the review of agreements or other documents relating to arbitration disputes to ensure compliance with applicable laws and Company policies and objectives.
  • Supervise the drafting, review and negotiation of contractual arrangements relating to arbitration disputes.
  • Performs duties such as interpreting laws, keeping abreast of arbitration rules and regulations applicable to arbitration disputes under various RasGas contracts.
  • Collaborate with, direct and manage outside counsel teams working on pending or existing arbitration.
  • Supervise the drafting and finalization of letters and documents addressed to ICC International Court of Arbitration, other applicable courts, governmental authorities or for any other purposes as required.
  • Supervise the preparation and finalization of Terms of Reference, all pleadings, Document Requests, Pre and Post Hearing Submissions and Briefs, Demonstratives and other procedural documentation as required by the ICC Court of International Arbitration, applicable arbitration panel or governing court.
  • Manage the coordination of document discovery and factual reviews arising from any pending or existing arbitration. Work with RasGas shareholders for any additional document discovery and factual reviews.
  • Attend arbitration hearings with General Counsel as representatives of RasGas.
  • Responsible for ensuring all arbitration hearings are conducted in accordance with RasGas’ arbitration strategy and the Legal Department’s objectives and strategy.
  • Assist senior managers with legal support of the commercial resolution of any disputes whether in pre- or post-arbitration, including preparation of any settlement offers, agreements or other documentation as well as necessary LNG SPAs amendments.
  • Provides concise and timely briefings to senior management as well as representatives of RasGas shareholders.
  • Coordinate with RasGas Finance of arbitration or disputes having financial or reputation impact on RasGas.
  • Manage the preparation of Notices to security lenders or other financial documentation relating to any required notification of existing arbitration. Preparation of and guidance to RasGas Finance of Q&A/inquiries received from security lenders or other financial institutions.
  • Assist and provide legal advice to RasGas Public Affairs Department in relation to any inquiries, publicity or disclosure of information arising from arbitration or any related matters having an effect on RasGas reputation.
  • Provides support to Company’s SHE and Quality policies and programs, and carries out specific duties and responsibilities related to his/her position as spelled out in RGEE and other related documents
  • Lead key meetings internally and with external law firms and legal counsels and experts on price review related disputes/negotiations and address critical legal issues.
  • Define and implement the recruitment plans for the Section.
  • Carries out other duties at the request of the General Counsel.
Knowledge Skills and Experience:
  • Law Degree from an accredited university; preferably with an LLM in Law.
  • Minimum 8-10 years’ experience gained in upstream/downstream energy sector, with some litigation/arbitration exposure.
  • Supervisory work experience is preferred.
  • Full membership of a recognized professional body.
  • Advanced knowledge across specializations.
  • Computer literate.
  • Fluent in English language (demonstrated verbal and written skills).
